Terms & Conditions
Agreement:
This document lays out the terms and conditions between Antetype Web Studio, herein referred to as AWS, and its Clients. By commissioning work to be carried out by AWS, the Client agrees to and are bound by the terms and conditions laid out in this document.
Agreeing to these terms and conditions does not affect your statutory rights.
Definitions:
- Client: The company, organisation or individual requesting the services of AWS.
- AWS: Antetype Web Studio, the partners, employees or associates.
- Content: Both text and images that the Client requires on the website.
- Project: The work undertaken by AWS on behalf of the client.
General Conditions:
- AWS will not carry out any work for person/s under the age of 18 years of age.
- AWS will not undertake any work for services which are deemed to be pornographic, offensive, racist, defamatory to individuals or organisations, infringe copyright, are contrary to UK laws or which will bring AWS into disrepute in any way.
- AWS accepts no responsibility of any content contained on a Client’s websites.
Clients responsibility:
- AWS Ltd shall expect the Client to carry out sufficient research before proceeding with a website. This will include checking that the website/idea/business will operate legally.
- The client agrees to make available as soon as is reasonably possible to AWS all materials which are required to complete the site to the agreed standard and within the set deadline.
- If, during the Website Development Cycle, the client does not supply the content required in order to complete the commission within a reasonable amount of time, AWS will consider that the client wishes to cancel the commission.
Content:
- All material, both text and images, supplied by the client and used in the construction of the client's web site, will remain the Client's property. All such material will be assumed to be the property of the client and free to use without fear of breach of copyright laws.
- Where images used on the website have been purchased by AWS on behalf of the Client, these images are strictly for use on the website only. AWS are not liable for misuse of these images by the Client or any other person’s copying, altering or distributing the images to individuals or other organisations.
- All images displayed on the Client's website will only be used after authorisation by the Client, and are the sole responsibility of the Client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the Client or AWS, they will be the sole responsibility of the Client.
Completion:
- AWS Ltd will provide the Client with an expected completion date for the project if requested. AWS will endeavour to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date.
- AWS will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
Maintenance:
- AWS does not undertake to maintain or update a client's website as part of the design commission. If a client wishes AWS to maintain or update a web site as a separate commission, AWS will negotiate with the client a maintenance contract appropriate to the amount of work required. Web site maintenance may also be undertaken on a time and materials basis if the client so wishes.
Website Design:
- AWS will endeavour to ensure that the website provided to the client, and any included scripts or programs, are free from error. However, AWS cannot accept responsibility for any losses incurred due to malfunction of any part of the website.
- The website, related graphics and code remain the property of AWS until all accounts have been paid in full. Any scripts or custom programs remain the property of AWS and cannot be copied, modified or resold without the express permission of AWS.
Compatibility:
- Due to the varying nature of current browser technology, and the ways it renders XHMTL and CSS code, AWS will make every effort to ensure that all pages of the provided site will render in all major browsers. Major browsers are defined by AWS as Microsoft Internet Explorer 6 & 7, Firefox 2.x, Netscape Navigator 7.x, Opera 9.x and Safari 3.x
- AWS will make every attempt to ensure that all pages will conform to XHTML Transitional 1.1 as specified by the W3C organisation.
Website Hosting:
- AWS will host the website if the Client requires us to do so and only after receipt of full payment of our Hosting fees. In providing this service, AWS will provide a reliable and professional service to the Client at all times but do not guarantee that the hosting service will be available at all times, especially in the event of a technical failure beyond our control.
- Hosting fees will be negotiated between AWS and the Client prior to the commencement of the service.
- Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was completed by AWS. The Hosting service will not be renewed if AWS cannot contact the Client or the Client requests AWS not to host this site.
Payment:
- All Web site design services require an advance payment of a minimum of fifty (50) percent of the project quotation total before any work is supplied to the Client for review. The remaining fifty (50) percent of the project quotation total will be due upon completion of the work prior to upload to the server or release of materials.
- Payment for services is due by cheque or bank transfer. Cheques should be made payable to Mr David Wood and sent to 36 Mayville Terrace, Leeds, LS61NB.
- AWS expects payment by cheque, credit card or cash within 14 days of the date on the invoice.
Cancellation of Services:
- If at any point during the Website Development Cycle a client wishes to cancel, they may do so but will be invoiced an amount that AWS judges to be proportional to the amount of work completed on the commission.
- Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice. E-mail or telephone requests for termination of services will not be honoured until and unless confirmed in writing.
